Terms and Conditions

Revised Terms and Conditions 4.27.2026

Integration / Entire Agreement This written contract constitutes the entire agreement between the parties. Any prior representations, statements, promises, or communications (oral or written) not expressly included herein are invalid, not relied upon by either party, and do not survive execution of this contract. No modifications are binding unless in a writing signed by both parties.

Approval and Scope This contract is subject to final credit and pricing approval by Reputable Roofing & Siding (“Company”) management. The scope of work is limited to the items expressly described herein or in any attached addenda/specifications. It does not include any extras, repairs, modifications, or work not specified (including but not limited to carpentry repairs, code-required upgrades not identified in the insurance scope, or cosmetic enhancements requested by the Customer) unless agreed in a signed change order.

Insurance Proceeds and Supplements If this project involves insurance proceeds, the “Full Scope of Insurance Proceeds” means only the amounts approved and paid by the insurance company for the specified repairs/replacements. The Customer is responsible for any deductibles, uncovered items, depreciation, or amounts not approved by the insurer. The Company reserves the right to pursue supplements for increased scope, changed conditions, or documented material/labor price increases. The Customer agrees to cooperate fully and authorizes direct payment of any supplements to the Company.

Limited Warranty / Disclaimer of Other Warranties The Company provides only the express warranty stated herein (if any). ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR HABITABILITY, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW. The Company shall not be liable for consequential, incidental, special, or punitive damages arising from the work.

Limitation of Liability To the fullest extent permitted by law, the Company’s total liability (whether in contract, tort, negligence, strict liability, or otherwise) for any claim, damage, loss, or expense arising out of or related to this contract or the work shall be limited to the total contract price paid by the Customer (less any prior payments or credits). This limitation applies regardless of the cause, including alleged negligence (except where prohibited by law, such as for gross negligence or willful misconduct). The Customer agrees this is a reasonable allocation of risk given the nature of the work and insurance coverage.

Specific Disclaimers and No Liability for Certain Risks

  • The Company is not responsible for interior damage, leaks, or other issues below the roof line caused by weather events (including but not limited to wind exceeding 55 mph, ice, hail, heavy rain, or acts of God) during construction or the warranty period, or due to pre-existing conditions, improper maintenance, or events beyond the Company’s control.
  • Minor cosmetic issues such as slight scratching/denting of gutters, oil drips on driveways, hairline cracks in concrete, damage to plants/shrubbery/landscaping, or similar incidental effects of construction are inherent risks and not the responsibility of the Company.
  • Excess materials remain the property of the Company.
  • The Company is not liable for delays, disruptions, or additional costs caused by weather, inspections, code officials, insurance adjustments, material shortages, or other factors outside its reasonable control.

Payment Terms First payment is due upon signing or, if agreed, upon material delivery. Remaining payments are due upon substantial completion of each trade/milestone unless otherwise noted. Upon substantial completion of the scope (or major portions), the Company will issue a Customer Completion Form. The Customer agrees to sign the form and pay the balance due upon receipt, acknowledging the work as substantially complete and accepting it subject to any express warranty. Failure to pay triggers all remedies, including liens.

Default and Collection In the event of default in payment, the Company may file a mechanic’s lien against the property from the date of substantial completion, plus interest at the maximum rate allowed by law. If collection requires an attorney, the Customer agrees to pay all reasonable attorneys’ fees, court costs, and collection expenses. Subcontractors or suppliers may also file liens if not paid.

Partial Non-Payment If the Customer refuses to pay for any portion of the agreed scope, line item, or trade, the Company is released from any obligation to complete that portion and from liability for any resulting effects on the building system’s integrity, code compliance, or appearance.

Cancellation This contract may be canceled by midnight of the third business day after signing (or as extended under applicable law for insurance-related contracts). After that period, or once material is delivered or insurance negotiations begin, cancellation requires mutual written agreement. If canceled later without such agreement, the Customer agrees to pay 25% of the total contract price as liquidated damages for consulting, mobilization, and opportunity costs, plus any restocking fees (not to exceed 10% of contract price) for returned materials.

Severability If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

Pre-Lien Notice (Required by Law) ANY PERSON OR COMPANY SUPPLYING LABOR OR MATERIALS FOR THIS IMPROVEMENT TO YOUR PROPERTY MAY FILE A LIEN AGAINST YOUR PROPERTY IF NOT PAID. UNDER STATE LAW, YOU MAY HAVE THE RIGHT TO PAY SUCH PERSONS DIRECTLY AND DEDUCT FROM OUR CONTRACT PRICE OR WITHHOLD FUNDS UNTIL 120 DAYS AFTER COMPLETION IF THEY PROVIDE TIMELY NOTICE.
